1. AI Service Disclaimer

Tosea.ai is committed to providing a powerful academic PPT generation tool. However, by using the Services, you must understand and agree to the following:

• Nature of AI Systems: You acknowledge that you are interacting with an artificial intelligence system based on probabilistic models. This means that the content generated by the system may contain errors, inaccuracies, or may not meet your expectations.
• Content Accuracy: We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any Output Content generated by the AI. The AI may not fully comprehend the complexity, context, or nuances of your Input Content.
• User Responsibility: You have the ultimate responsibility to independently review, verify, and modify all Output Content to ensure it meets your academic or professional standards. Any decisions, actions, or omissions made based on the Output Content are solely your responsibility.
• Inherent Limitations of AI: AI may produce repetitive or formulaic content, lacking human creativity. The output of the AI may be influenced by biases present in its training data. The AI's capabilities are limited when handling highly complex tasks that require deep reasoning and judgment.

2. Account and Service Use

• Account Registration: You need to register for an account to use our Services. You agree to provide accurate, current, and complete registration information and to update it in a timely manner. You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials.
• Eligibility: You must be of legal age of majority in your jurisdiction and have the full legal capacity to enter into a legally binding contract.
• Prohibited Conduct: You agree not to use the Services for any illegal purpose or in any manner prohibited by these Terms. You shall not: sell, rent, license, distribute, or otherwise commercially exploit any part of the Services; reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code; use any automated means to access, scrape, or download data; upload or transmit any malicious code; upload any content that infringes upon third-party rights; or abuse the Services by fraudulently obtaining credits or creating multiple accounts.

3. Subscriptions, Fees, and Payment

• Subscription Plans: We offer various service plans, including free and paid subscription plans (e.g., Pro and Max). The features, credit amounts, and limitations of each plan are detailed on our pricing page.
• Credit-based System: The Services operate on a credit system. Generating a PPT or performing other actions will consume credits from your account. The number of credits consumed for different operations may vary depending on the complexity of the task, the model used, or other factors. The monthly credits in your account are reset at the beginning of each billing cycle. Unused credits do not roll over to the next period unless otherwise specified.
• Automatic Renewal: To ensure uninterrupted service, all paid subscription plans will automatically renew. Your subscription will be automatically renewed at the then-current price for the same period you selected, unless you cancel your subscription before the end of the current subscription period.
• Fee Changes: We reserve the right to adjust subscription prices in the future. Any price changes will take effect at the start of the next billing cycle after we provide you with advance notice.
• Payment: We use a third-party payment processor (e.g., Stripe) to handle all payments. You agree to provide us with valid and authorized payment information. All fees are exclusive of any applicable taxes, and you are responsible for paying all such taxes.

4. Refund Policy

General Principle: Except as expressly provided in this section, all fees you pay for the Services are final and non-refundable. We are under no obligation to provide a refund or credit for partially used subscription periods or unused credits.

7-Day No-Questions-Asked Refund Guarantee: We offer a 7-day no-questions-asked refund guarantee for users who purchase a paid subscription plan (e.g., Pro or Max) for the first time. To be eligible for a refund, you must meet both of the following conditions:

• Refund Period: You must submit your refund request via email within seven (7) calendar days of the successful subscription payment.
• Usage Condition: To remain eligible for a refund, none of the following may have occurred in your account during the 7-day period:
  • consumption of any credits; and
  • use of any feature, model, template, export option, or other benefit that is exclusively available on Pro or Max plans (or any other paid tier you subscribed to).
  The occurrence of either event within the subscription period will immediately forfeit your refund eligibility.

How to Apply: To apply for a refund, please send an email to [email protected], including your registered email address and your refund request.

Payment Processing Fees: Refunds are issued for the subscription amount net of the non-refundable payment processing fees retained by our payment processor (typically around 3%–5% of the original transaction, depending on card type and region). These fees are charged by the processor on both the original payment and the refund, and are not returned to us. As an alternative, at your option, we may issue the full equivalent amount as account credits — in that case no processing fees are deducted.

Policy Limitations: This 7-day refund guarantee does not apply to subscription renewal fees, plan upgrade fees, or any separately purchased credit packs. Any refund requests made after the 7-day period will not be accepted. Accounts that are suspended or terminated for violating these Terms of Use are not eligible for a refund.

5. Content and Intellectual Property

Your Content: "Your Content" collectively refers to Input Content (all files and prompts you upload) and Output Content (the presentation slides generated by the Services based on your Input Content).

Content Ownership: You retain all ownership rights to your Input Content. As between you and us, you also own the specific Output Content generated for you by the Services. However, please note that due to the nature of AI-generated content, the Output Content may not be unique among all users.

License You Grant to Us (Very Important):

• Service Operation License: Solely to operate, provide, and maintain the Services for you, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content as needed to deliver the Service. This license is limited in scope to what is technically necessary to provide the Service, and it terminates when you delete the relevant content or close your account (subject to standard backup retention windows described in our Privacy Policy).
• AI Model Training — Opt-In Only: We do not use Your Content (Input or Output) to train, fine-tune, or improve our artificial intelligence models by default, on any plan (free or paid). If we ever introduce an optional “Help Improve Tosea” program, participation will be strictly opt-in, disabled by default, and revocable at any time from your account settings. The license granted in this Section does not include the right to use Your Content for AI model training, and any AI training license granted under a future opt-in program ends when you revoke participation or close your account.
• Third-Party LLM Providers: When we route requests to upstream large language model providers (such as OpenAI, Anthropic, and Google) to generate Output Content, those providers are bound by their enterprise data processing terms, which prohibit them from using API content sent on your behalf to train their models.

Your Responsibilities: You represent and warrant that you own or have obtained all necessary rights to lawfully upload your Input Content to our Services and to grant us the licenses described above. Your Input Content does not contain any illegal, defamatory, infringing, or otherwise unlawful information. You will not upload any sensitive personal information, and we shall not be liable for any disclosure of such information.

Tosea.ai's Intellectual Property: Except for Your Content, the Services and all their components, including software, design, text, graphics, trademarks, and underlying technology, are the exclusive property of Tosea.ai or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6. Third-Party Services

Our Services may integrate or utilize technology or services provided by third parties, including but not limited to underlying large language models. You acknowledge and agree that:

• We may share your Input Content with these third-party service providers in order to process your requests.
• We are not responsible for the availability, accuracy, security, or performance of any third-party services.
• Your use of these third-party services may be subject to their own terms and privacy policies.

7. Termination

• Termination by You: You may terminate this agreement at any time by deleting your account.
• Termination by Us: If we believe you have breached any provision of these Terms, we reserve the right to immediately suspend or terminate your account and access to the Services at our sole discretion, without prior notice.
• Effect of Termination: Upon termination of the agreement, you will no longer have access to your account and content. We have no obligation to retain any of your data. Provisions of these Terms that by their nature should survive termination will continue to be in effect.

8. Disclaimer of Warranties and Limitation of Liability

"AS IS" Basis: The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: In no event shall Tosea.ai, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use or inability to use the Services, even if we have been advised of the possibility of such damages. Our total cumulative liability in any circumstance shall not exceed the greater of the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100 USD).

9. Governing Law & Dispute Resolution

Governing Law: These Terms and their interpretation shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to any conflict of law principles.

Dispute Resolution:

• For Users Outside the United States: Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for resolution by litigation.
• For Users in the United States: If you are a U.S. resident, you and Tosea.ai agree to resolve any disputes through binding individual arbitration, rather than in court. All disputes shall be submitted to the American Arbitration Association (AAA) and conducted in accordance with its Commercial Arbitration Rules. You and Tosea.ai agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to initiate or participate in any form of class action or class arbitration.

10. Miscellaneous

• Modification of Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website or by sending an email to your registered email address. Your continued use of the Services after the changes become effective will constitute your acceptance of the revised Terms.
• Severability: If any provision of these Terms is found to be illegal or unenforceable, the remaining provisions shall continue to be in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Tosea.ai regarding the use of the Services and supersede all prior oral or written agreements.
